We refer to the announcements dated 20 February 2023, 28 March 2023 and 31 March 2023 in relation to the Proposals. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 13 April 2023, resolved to approve the following:-

1. Admission to the Official List and listing of and quotation for up to 140,680,120 Warrants to be issued pursuant to the Proposed Bonus lssue of Warrants; and
2. Listing of and quotation up to 140,680,120 new ordinary shares in GUH to be issued arising from the exercise of the Warrants.

The approval by Bursa Securities for the Proposed Bonus Issue of Warrants are subject to the following conditions:-

1. GUH and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Bonus lssue of Warrants;
2. UOBKH to inform Bursa Securities upon the completion of the Proposed Bonus lssue of Warrants;
3. UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus lssue of Warrants is completed; and
4. GUH is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
