Sime Darby Plantation Berhad (SDPB) wishes to announce that ASM and MGG (ASM and MGG collectively, “Sellers”), both its wholly-owned indirect subsidiaries, had on 14 April 2023 entered into two Conditional Shares Sale and Purchase Agreements (“CSPAs”) with PT Global Berkat Usahatama (“GBU” or “Purchaser”) for the disposal of the Sellers’ cumulative 100% equity interest in LSI and SHE at a combined total cash consideration of IDR1,750,000,000,000 (equivalent to approximately RM518,000,000) (“Sale Consideration”) only subject to the terms and conditions as contained in the CSPAs (“Proposed Disposal”). Upon completion of the Proposed Disposal, LSI and SHE will cease to be indirect subsidiaries of SDPB.
