Reference is made to the Company’s announcement made on 5 April 2023 in relation to the Creditors’ Voluntary Winding-Up of its indirect subsidiary, Dolphin Robotic Systems Sdn. Bhd. ("DRSSB").

The Board of Directors of Dolphin International Berhad ("DIB") wishes to inform that DRSSB had, on 27 April 2023, received a Notice of Application (Ex-Parte) filed in the Shah Alam High Court Civil Suit No.: BA-22NCvC-148-04/2023 (“Suit”) and a copy of a draft Order dated 27.4.2023 granted by the High Court. DRSSB, Dolphin Applications Sdn. Bhd. (“DASB”), DIB and Low Teck Yin (“LTY”) (ex-director of DRSSB, DASB and DIB) were named as defendants in the Suit. The documents were sent by Messrs. Subramaniam & Shafiq, the solicitors acting on behalf of Genesis Corp Pte. Ltd., Neilson Navin A/L Anthony Aloysius and Chong Wai Chee (“Plaintiffs”).

The Court granted:

a) an interim order that DRSSB, DASB and DIB be restrained from voluntarily winding up until the disposal of this action;

b) an interim order that LTY and/or any director and shareholder of DRSSB, DASB and DIB be restrained from taking any action in relation to voluntarily winding up of DRSSB, DASB and DIB until the disposal of this action; and

c) an interim order to restrain any decision being made in relation to the voluntarily winding up of DRSSB, DASB and DIB and to carry out the decision in relation to the said voluntarily winding up until the disposal of this action.

The Board of Directors of DIB is seeking legal advice on the matter and further announcement will be made on any material development.
