ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021/2024 OF CLASSITA HOLDINGS BERHAD (FORMERLY KNOWN AS CAELY HOLDINGS BHD) ("CLASSITA" OR THE "COMPANY") ("WARRANTS B") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 20 DECEMBER 2021 CONSTITUTING THE WARRANTS B ("DEED POLL B") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 965,398,515 NEW ORDINARY SHARES IN CLASSITA ("CLASSITA SHARES" OR "SHARES") ("RIGHTS SHARES") ON THE BASIS OF 5 RIGHTS SHARES FOR EVERY 2 EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF CLASSITA AS AT 5.00 P.M. ON 31 MAY 2023, TOGETHER WITH UP TO 579,239,109 FREE DETACHABLE WARRANTS ("WARRANTS C") ON THE BASIS OF 3 WARRANTS C FOR EVERY 5 RIGHTS SHARES SUBSCRIBED FOR, AT AN ISSUE PRICE OF RM0.10 PER RIGHTS SHARE ("RIGHTS ISSUE") ("ADJUSTMENTS")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 30 May 2023
2)  The last date of lodgment : 31 May 2023

Remarks :

The Notice of Book Closure in relation to the Rights Issue had been announced by the Company separately today.

Holders of Warrants B who wish to be entitled to the Rights Shares with Warrants C must exercise their Warrants B into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Symphony Corporate Services Sdn Bhd, on or before 5.00 p.m. on 19 May 2023. This is to enable the new Shares arising from such exercise to be alloted to the respective holders of Warrants B such that their name will appear on the Record of Depositors of Classita by 5.00 p.m. on 31 May 2023.

Holders of Warrants B who have not exercised their outstanding Warrants B by 5.00 p.m. on 19 May 2023 and whose name appear in the Record of Depositors for the outstanding Warrants B as at 5.00 p.m. on 31 May 2023 would be entitled to the Adjustments.

The entitlement ratio indicated above is for illustration only based on the issued share capital of the Company as at 5.00 p.m. on 12 May 2023 (the market day preceding to this announcement) and assuming all entitled shareholders subscribe for their respective entitlements under the Rights Issue. The actual number of additional Warrants B to be issued and the adjusted exercise price of Warrants B pursuant to the Adjustments shall be finalised at a later date prior to the listing of and quotation of the Rights Shares with Warrants C on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities").

 The additional Warrants B will be listed and quoted simultaneously with the Rights Shares and Warrants C on the Main Market of Bursa Securities. The notice setting out the details of the Adjustments will be issued and despatched to the entitled holders of Warrants B in due course.
