MALAYSIA PACKAGING INDUSTRY BERHAD ("MAYPAK" OR "THE COMPANY")

UNCONDITIONAL MANDATORY TAKE-OVER OFFER BY TAISEI LAMICK CO., LTD. ("TLC" OR "THE OFFEROR") THROUGH RHB INVESTMENT BANK BERHAD TO ACQUIRE ALL THE REMAINING ORDINARY SHARES OF RM1.00 EACH IN MAYPAK ("MAYPAK SHARE(S)") NOT ALREADY HELD BY THE OFFEROR ("OFFER SHARE(S)") AT A REVISED CASH OFFER PRICE OF RM1.00 PER OFFER SHARE ("OFFER")

We refer to the offer document dated 6 October 2016, the notice dated 25 October 2016 on the extension of offer period, the notice dated 31 October 2016 on the revised offer and the notice dated 11 November 2016 on the final extension of the offer period.

On 5 December 2016, the Company had received a press notice issued on even date by the Offeror through RHB Investment Bank Berhad notifying, amongst others, the following:-

(i)    the Offer has closed at 5.00 p.m. (Malaysian time) on Monday, 5 December 2016 (“Closing Date”);

(ii)    the Offeror has received acceptances in respect of the Offer resulting in the Offeror holding not less than nine-tenths (9/10) of the total issued and paid-up share capital of Maypak (including Maypak Shares which were already acquired or held by the Offeror) as at the Closing Date;

(iii)    In accordance with Paragraph 9.19(48) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“MMLR”), the Offeror wishes to highlight that the Offeror does not intend to maintain the listing status of Maypak and will not undertake any steps to address the shortfall in the public spread requirements pursuant to Paragraph 8.02(1) of the MMLR. Hence, in accordance with Paragraph 16.02(3) of the MMLR, Bursa Securities will suspend the trading of Maypak Shares upon the expiry of five (5) market days from the Closing Date. The suspension shall be effective from 9.00 a.m. (Malaysian time) on Wednesday, 14 December 2016

(iv)    the Offeror will procure Maypak to file an application with Bursa Securities to withdraw Maypak’s listing status from the Official List of Bursa Securities pursuant to Paragraphs 16.07(a) and 16.08 of the MMLR; and

(v)    A holder of the Offer Shares who has not accepted the Offer (“Dissenting Holders”) may exercise his/her/its rights under Section 223(1) of the Capital Markets and Services Act, 2007 (“CMSA”) by serving a notice on the Offeror to require the Offeror to acquire his/her/its Maypak Shares on the same terms as set out in the Offer Document or such other terms as may be agreed between the Offeror and such Dissenting Holder, subject to Section 224 of the CMSA. Pursuant to Section 224 of the CMSA, when a Dissenting Holder exercises his/her/its rights under Section 223(1) of the CMSA, the court may, on application made by such Dissenting Holder or by the Offeror, orders that the terms on which the Offeror shall acquire such Maypak Shares shall be as the court thinks fit.
