- JOINT VENTURE AGREEMENT ENTERED INTO BETWEEN CFM AND EA MOBILITY HOLDING CO. LTD.

We refer to CFM’s announcement dated 20 July 2023 in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:

1. The terms under the Joint Venture Agreement that were not fulfilled by CFM  that resulted in EA Mobility Holding Co Ltd (“EA Mobility Holding”) to exercise the put option. 

2. The strike price applicable to the put option that CFM will pay EA Mobility Holding for selling back the shares in the joint venture company to CFM.

3. The status of the Joint Venture Agreement between CFM and EA Mobility Holding arising from the exercise of the put option by EA Mobility Holding and whether the said agreement is deemed terminated.

4. Whether the joint venture company has commenced its operations and business activities and the date of commencement, where applicable.

5. The financial and operational impact on CFM Group arising from the exercise of the put option and/or termination of the Joint Venture Agreement.

6. The status of the CFM Group’s venture into the electric vehicle industry with the cessation of EA Mobility Holding as the joint venture partner for the electric vehicle project.
