Reference is made to the First Announcement made on 28 January 2022 and the monthly announcements made by the Company in relation to the Company being classified as a Practice Note 17 (“PN 17”) Issuer pursuant to the requirements under PN17 of the Main Market Listing Requirements (collectively referred to as “Announcements”) of Bursa Malaysia Securities Berhad (“Bursa Securities”).

(Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as those defined in the Announcements.)

The Board wishes to inform that after due consideration of all facts and circumstances, Bursa Securities has vide its letter dated 27 July 2023 decided to reject the Company’s application for extension of time up to 29 December 2023 to submit the regularisation plan to the regulatory authorities (“Application”) as the Company has not demonstrated to the satisfaction of Bursa Securities any material development towards the finalisation and submission of the regularisation plan to the regulatory authorities.

Bursa Securities noted that TBCB had failed to regularise its condition in accordance with paragraph 8.04(3)(a) of the Main Market Listing Requirements (“Main LR”) where the Company has failed to submit its regularisation plan to the Securities Commission or Bursa Securities for approval within the extended timeframe of 29 June 2023 and the Company’s application for a further extension of time to submit the regularisation plan had been rejected, as communicated by Bursa Securities to the Company on 27 July 2023.

Pursuant to the circumstances and pursuant to Paragraph 8.04(5) of the Main LR, please be informed that:

(a)        the trading in the securities of TBCB will be and/or remain suspended with effect from 4 August 2023; and

(b)        the securities of the Company will be de-listed on 8 August 2023 unless an appeal against the de-listing is submitted to Bursa Securities on or before 3 August 2023 (“Appeal Timeframe”). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa Securities.

The Company will submit an appeal to Bursa Securities on their decision to de-list the securities of the Company within the Appeal Timeframe.

In the event the Company submits an appeal to Bursa Securities within the Appeal Timeframe, the de-listing of the securities of the Company from the Official List of Bursa Securities on 8 August 2023 will be deferred pending the decision on the Company's appeal.
