This is a voluntary announcement made by the Company.

Reference is made to the announcements made on 16 January 2023, 7 February 2023, 5 March 2023, 16 May 2023, 7 June 2023, 14 July 2023, 24 July 2023 in relation to the Joint Investment between PLS LESB Sdn Bhd (“PLS-LESB”), Millennium Agriculture Technology Sdn Bhd (“MAT”) and Myfarm, Inc., Japan (“MYFARM”) ("Announcements").

Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the Announcements.

The Company wishes to announce that MAT / MYFARM has entered into a Supplemental Joint Venture Cum Shareholders’ Agreement dated 30 August 2023 to complete the first tranche of the investment valued at RM12 million (“First Tranche Investment”).  Following the completion of the First Tranche Investment, MAT is granted a 6-month exclusivity period, up until 29 February 2024 to complete the remaining investment of approximately RM198 million in accordance with the terms of the agreement. Any further extension on the above shall subject to PLS-LESB’s sole discretion.

Save for the above, all the terms and provisions of the Joint Venture Cum Shareholders’ Agreement dated 5 March 2023 between the Parties shall remain in full force and continue to take effect and be binding to the Parties.
