DOLPHIN - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 178,384,805 NEW ORDINARY SHARES IN DOLPHIN INTERNATIONAL BERHAD ("DOLPHIN" OR THE "COMPANY") ("DOLPHIN SHARES" OR "SHARES") ("RIGHTS SHARES") TOGETHER WITH UP TO 133,788,604 FREE DETACHABLE WARRANTS ("WARRANTS-C") AT AN ISSUE PRICE OF RM0.085 PER RIGHTS SHARE, ON THE BASIS OF 4 RIGHTS SHARES TOGETHER WITH 3 WARRANTS-C FOR EVERY 3 CONSOLIDATED SHARES HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5:00 P.M. ON 19 OCTOBER 2023

Further to Reference No.  ILC-20092023-00002, kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 18 Oct 2023 (Instead of 04 Oct 2023
2)    The last date of lodgment : 19 Oct 2023 (Instead of 05 Oct 2023)
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct <4/7>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <4/7>, of the Transacted Price is applicable.

Remarks :
Please be advised that the Board of Directors of Dolphin had decided to revise the book closure date for the Rights Issue to 19 October 2023 to allow more time for the Company to make additional enhancements and updates to its Abridged Prospectus in relation to the Rights Issue.

The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue (collectively, the "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on 19 October 2023 ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar namely Boardroom Share Registrars Sdn Bhd with a registered address in Malaysia in writing by 5.00 p.m. on 19 October 2023.

The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue complies with the laws of any country or jurisdiction other than the laws of Malaysia.

Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers to effect the change of address by 5.00 p.m. on 19 October 2023.

The Documents will be despatched to the Entitled Shareholders no later than 2 market days after the Entitlement Date.
