We refer to the announcements dated 14 August 2023 and 15 August 2023 in relation to the Proposals (“Announcements”). Unless stated otherwise, definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the Company had, on today, received a notice dated 23 October 2023 from the Joint Offerors (“Notice”) which sets out, amongst others, the following:

(i) the Exit Offer Price has been adjusted from RM0.230 to RM0.225 per Offer Share (“Adjusted Exit Offer Price”), after taking into consideration the interim single tier dividend of 0.5 sen per CRG Share in respect of the financial year ending 30 June 2024 with entitlement date on 1 September 2023 and paid by the Company on 15 September 2023 (“CRG Dividend”). This adjustment is in accordance with section 2.4 of the Proposal Letter and section 2.2.3 of the announcement dated 14 August 2023 in relation to the Proposals;

(ii) the Exit Offer Price on the Offer Shares held by shareholders of CRG that were entitled for the CRG Dividend will be reduced to the Adjusted Exit Offer Price as the total value derived from the Offer Shares held by these shareholders remains unchanged. If the holder of the Offer Shares has acquired the CRG Shares on an ‘ex-dividend’ basis, the theoretical value of the CRG Shares would have been adjusted accordingly and the Offer Shares held by these shareholders will be subject to the Adjusted Exit Offer Price; and

(iii) save for the above, all other terms and conditions as set out in the Proposal Letter in relation to the Proposed Exit Offer remain unchanged.

A copy of the Notice and the Proposal Letter are available for inspection at the registered office of the Company at No. 5-1, Jalan Radin Bagus 9, Bandar Baru Sri Petaling, 57000 Kuala Lumpur, Wilayah Persekutuan, Malaysia from Monday to Friday (except public holidays) for a period of 3 months commencing from the date of this announcement.
