We refer to the announcements dated 26 January 2023, 27 March 2023 and 11 April 2023 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.


On behalf of the Board, TA Securities wishes to announce that following the execution and delivery of the Deed of Termination for the SSHA, the Deed of Termination for the Previous SPA by the Vendor and CSPSB as well as the termination of the power of attorney granted in favour of CSPSB by the Vendor pursuant to the Previous SPA on the date of this announcement, all the conditions precedent stipulated in the SPA have been fulfilled on 16 January 2024. In addition, following the settlement of the Balance Purchase Consideration, the Proposed Acquisition is deemed completed on 16 January 2024.
