We refer to the announcements dated 17 October 2023, 12 December 2023, 27 December 2023 and 2 January 2024 in relation to the Dividend-in-Specie (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

The Board wishes to inform that AIGL had filed a registration statement on Form F-1, as amended (File No. 333-275235) (“Prospectus”) with the U.S. Securities and Exchange Commission (“SEC”), which became effective on 25 January 2024 (4:00 p.m., Eastern Time), to facilitate the Dividend-in-Specie. The Prospectus is available on the SEC’s website at https://www.sec.gov/edgar/browse/?CIK=1930179&owner=exclude. Shareholders of ARB can refer to the SEC’s website for information.

Based on the Record of Depositors for ARB Shares on the Entitlement Date, a total of 17,496,142 Distributable Shares will be distributed to all the Entitled Shareholders and will be recorded in the books of AIGL pursuant to the book-based Direct Registration System.

All the Entitled Shareholders will be given their Direct Registration Statements issued by AIGL’s transfer agent (i.e., VStock Transfer LLC, a SEC registered stock transfer firm) evidencing their Distributable Shares together with the information to deposit their Distributable Shares into their trading accounts in due course.
