GPLUS wishes to announce that the following wholly-owned subsidiaries had on 1 April 2016 and 4 April 2016 received notifications all dated 16 March 2016 from the Companies Commission of Malaysia (“CCM”) pursuant to Section 308(1) of the Companies Act 1965 notifying that it has reasonable grounds to believe that the below-mentioned subsidiaries are not carrying on business and not in operation.

1. Golden Plus Quarry (Sabah) Sdn Bhd (“GPQS”)
2. Jalur Mastiara Sdn Bhd (“JMSB”)
3. Corporate Business (M) Sdn Bhd (“CBSB”)
4. Golden Plus Construction Sdn Bhd (GPCSB”)

As such, CCM advised that a notice will be published in the Government Gazette with a view to striking the said subsidiaries off the register within one month from the date of notification (16 March 2016) if it does not receive any response to the contrary from them.

The striking off of the said subsidiaries, save for CBSB and GPCSB, will not have any financial or operational effects on GPLUS Group of companies.

CBSB and GPCSB are companies that are still holding active assets in Malaysia and China respectively.

CBSB is an investment holding company which is still holding properties in Malaysia.

GPCSB is an investment holding company which holds 100% equity interests in Golden Plus (B.V.I) Pte. Ltd. (“GPBVI”), a company incorporated in British Virgin Island. GPBVI holds equity interests, direct and indirect, in various companies in Hong Kong and China.

GPLUS will be writing to and informing CCM that CBSB and GPCSB are not dormant companies and are not subject to Section 308(1) of the Companies Act 1965.

None of the Directors or major shareholders or persons connected with them has any interest, direct and indirect, in the striking off of the wholly-owned subsidiaries by CCM.
