Pursuant to Paragraph 10.05(2) of the Main Market Listing Requirements (“Main LR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of KAB wishes to announce that KABEH had on 28 February 2024 entered into a Share Purchase Agreement (“SPA or “the Agreement”) with Vizione Energy Sdn. Bhd. (“VESB”), a wholly owned subsidiary of Vizione Holdings Berhad, for the purpose of acquisition of 200,100 ordinary shares and 425,000 preference shares in Tunjang Tenaga Sdn. Bhd. (“TTSB”) for a total consideration of RM200/- (Ringgit Malaysia: Two Hundred) only legally and beneficially owned by VESB pursuant to Clause 3.1 of the SPA (Consideration) (“Purchase Consideration”) (“Proposed Acquisition”).
