ADJUSTMENTS TO THE EXERCISE PRICE OF OUTSTANDING WARRANTS 2021/2026 OF TECHBASE INDUSTRIES BERHAD (FORMERLY KNOWN AS PROLEXUS BERHAD) ("TIB") ("WARRANTS") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 14 JUNE 2021 ("DEED POLL") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO RM102,578,353 NOMINAL VALUE OF 2,051,567,055 FIVE (5)-YEAR, 0.10% IRREDEEMABLE CONVERTIBLE UNSECURED LOAN STOCKS ("RIGHTS ICULS") AT 100.0% OF ITS NOMINAL VALUE OF RM0.05 EACH ON THE BASIS OF FIVE (5) RIGHTS ICULS FOR EVERY ONE (1) EXISTING ORDINARY SHARE OF TIB HELD AS AT 5.00 P.M. ON MONDAY, 4 MARCH 2024 ("ENTITLEMENT DATE") ("RIGHTS ISSUE") ("ADJUSTMENT")
Holders of Warrants are advised to refer to the Company's announcements and notice of book closure in relation to the Rights Issue dated 16 February 2024. Pursuant to the Rights Issue, the exercise price of the Warrants has been revised from RM0.56 to RM0.41. For avoidance of doubt, in accordance with the provisions of the Deed Poll, there shall be no adjustments to the number of Warrants arising from the Rights Issue. In accordance with the Deed Poll, the Adjustment shall take effect on 5 March 2024, being the next market day immediately after the Entitlement Date. The notice to holders of Warrants in relation to the Adjustment will be despatched in due course. This announcement is dated 4 March 2024.
