This announcement is made by RHBIB in relation to the non-collateralised European-style cash settled call warrants over ordinary shares of CIMB issued by RHBIB on 7 August 2023. The expressions applied in this announcement shall have the same meanings ascribed to them as set out in the Base Prospectus dated 21 October 2022 ("Base Prospectus"), the First Supplementary Base Prospectus dated 17 February 2023 ("First Supplementary Base Prospectus") and the Second Supplementary Base Prospectus dated 21 July 2023 ("Second Supplementary Base Prospectus").

We refer to the announcement made by CIMB dated 1 March 2024 pursuant to the special dividend of 7.00 sen per share in respect of the financial year ended 31 December 2023 ("Special Dividend").

In accordance with Condition 2 – Adjustment of Exercise Price, Underlying Index, Exercise Level and/or Exercise Ratio, the Exercise Ratio and Exercise Price of the Part 1 of the Deed Poll dated 19 October 2022, no adjustment will be made to CIMB-C1H pursuant to the Special Dividend as the adjustment amount is less than two per cent (2%) of the Exercise Price and/or Exercise Ratio of CIMB-C1H.

For avoidance of doubt, reference should be made to the Base Prospectus, the First Supplementary Base Prospectus, the Second Supplementary Base Prospectus and the terms and conditions therein shall prevail.
