INSTACO-WB - Notice of Book Closure

Adjustments made to the exercise price and number of outstanding warrants in Instacom Group Berhad ("Instacom") constituted by the deed poll dated 19 August 2013 ("Deed Poll B") ("Warrants B") pursuant to the bonus Issue of up to 657,103,877 new ordinary shares of RM0.10 each in Instacom ("Instacom Share(s)") ("Bonus Share(s)") to be credited as fully paid-up on the basis of one (1) Bonus Share for every three (3) existing Instacom Shares held on 4 November 2015 ("Bonus Issue") in accordance with the provisions of the Deed Poll B ("Adjustments").

Kindly be advised of the following : 

1) The above Company's securities will be traded and quoted [ "Ex – Adjustment" ] as from: [ 2 November 2015 ] 

2) The last date of lodgment: [ 4 November 2015 ]  

Remarks 1):- "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place on 5 November 2015 with adjustment to the number of outstanding INSTACO-WB shares, any shareholder who is entitled to receive INSTACO-WB additional shares may now sell any or all of his INSTACO-WB  shares arising from adjustment consequent to the bonus issue beginning the Ex-Date (2 November 2015). 

For example, if Mr X purchases 300 INSTACO-WB shares on cum basis on 30 October 2015, Mr X should receive 300 shares on 4 November 2015. Consequent to a bonus issue, a total of 400 INSTACO-WB shares will be credited into Mr X's CDS account on the night of 4 November 2015 being the Book Closing Date. Therefore, Mr X can sell the INSTACO-WB shares of 400 on or after the Ex-Date ie from 2 November 2015 onwards."

Remarks 2:- The exercise price of the Warrants B will be adjusted which will be rounded up to the nearest one (1) sen, in accordance with the provisions of the Deed Poll B while additional Warrants B consequential to the Bonus Issue will be allotted and issued, the basis of the additional Warrants B which shall be determined on the entitlement date, to the entitled Warrant B holders of the Company whose names appear in the Record of Depositors at 5.00 p.m. on the entitlement date. Any adjustments to the number of Warrants B will be rounded downwards to the nearest whole Warrant. The final number of Additional Warrants B to be issued and allotted will depend on the number of outstanding Warrants B which have yet to be exercised as at the entitlement date and shall be listed and quoted simultaneously with the Bonus Shares on 5 November 2015. The notice to Warrant B holders setting out the details of the adjustments and the notice of allotment of the additional Warrants B will be despatched in due course.
