The Board of Directors of TNGB wishes to announce that the Company has today received the attached press notice from Mercury Securities Sdn Bhd, on behalf of Plenitude, informing that Plenitude had, pursuant to Section 222(1) of the CMSA, posted the notice of compulsory acquisition (“Notice of CA”) to the dissenting shareholders of TNGB (whose names appear on TNGB’s Record of Depositors as at 5.00 p.m. (Malaysian time) on Monday, 22 June 2015 (“Dissenting Shareholders”)), notifying them of Plenitude’s intention to compulsorily acquire all the Offer Shares held by the Dissenting Shareholders at the same Offer Price of RM1.25 per Offer Share to be satisfied through the issuance of Consideration Shares at the Issue Price of RM2.50 each, where each Dissenting Shareholder will receive one (1) Consideration Share for every two (2) Offer Shares held.
