1. Introduction

Pursuant to Paragraph 9.04(f) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Khee San Berhad wishes to announce that on 20 September 2024, the Company received a sealed copy of an Originating Summons filed by Dato’ Adam Primus Varghese Bin Abdullah, the Former Interim Judicial Manager of Khee San Food Industries Sdn Bhd (“Plaintiff”) vide a suit no. WA-24NCC-455-09/2024 at the Kuala Lumpur High Court, for the following Orders:

1. That the remuneration of the Plaintiff as the Former Interim Judicial Manager of the Defendant shall be based on time cost expended at the composite man hour rate of RM800.00 per hour by the Plaintiff and his personnel at Messrs AdamPrimus & Co PLT;

2. Further that the remuneration of the Plaintiff for all works carried out as the Former Interim Judicial Manager of the Defendant be fixed at RM1,999,435.60 (inclusive of 6% SST) for 2,357.87 hours of work, and to be paid out of the assets of the Defendant within 7 days from the pronouncement of this Order;

3. Costs; and

4. Further or other orders and/or reliefs that the Court deems fit and proper to grant.

2. Circumstances leading to the filing of Originating Summons

The Originating Summons was filed to claim remuneration amounting to RM1,999,435.60 pursuant to Section 407(4)(c) of the Companies Act 2016.

3. Financial and Operational Impact of the Originating Summons

Apart from the amount claimed by the Plaintiff and the corresponding legal costs, the Originating Summons is not expected to have material financial impact on the Company for the financial year ending 30 June 2025.

4. Steps taken and proposed to be taken in respect of the Originating Summons

The Company will seek legal advice on the next course of action.

5. Additional Information

The abovementioned suit is fixed for Case Management on 23 September 2024 by way of e-review.

The Company will make the necessary announcements to Bursa Malaysia Securities Berhad as and when there are further developments in relation thereof.
