ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2022/2025 IN VIZIONE HOLDINGS BERHAD ("VIZIONE" OR THE "COMPANY") ("WARRANTS E") AS SPECIFIED IN THE DEED POLL DATED 14 JANUARY 2022 ("DEED POLL E") PURSUANT TO THE CONSOLIDATION OF EVERY 5 EXISTING ORDINARY SHARES IN VIZIONE ("VIZIONE SHARES" OR "SHARES") INTO 1 VIZIONE SHARE ("CONSOLIDATED SHARE") HELD AT 5.00 P.M. ON 3 OCTOBER 2024 ("ENTITLEMENT DATE") ("SHARE CONSOLIDATION")
Pursuant to the Adjustments, (i) the existing exercise price of Warrants E of RM0.08 each will be revised to RM0.40 each; and (ii) the existing number of 511,449,980 Warrants E as at the Entitlement Date will be adjusted into 102,289,956 Warrants E (after disregarding the fractional entitlements arising from the Adjustments) which will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 4 October 2024, being the next market day following the Entitlement Date. Further, in accordance with the provisions of the Deed Poll E, the Adjustments will take effect from 4 October 2024. The notice to the holders of Warrants E (setting out the details of the Adjustments) will be despatched in due course. This announcement is dated 3 October 2024.
