ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2022/2027 OF CWG HOLDINGS BERHAD ("CWG" OR THE "COMPANY") ("WARRANT(S)") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 14 FEBRUARY 2022 CONSTITUTING THE WARRANTS ("DEED POLL") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 147,317,119 NEW ORDINARY SHARES IN CWG ("CWG SHARE(S)" OR "SHARE(S)") ("RIGHTS SHARE(S)") AT THE ISSUE PRICE OF RM0.18 PER RIGHTS SHARE, ON THE BASIS OF 3 RIGHTS SHARES FOR EVERY 5 EXISTING CWG SHARES HELD AT 5.00 P.M. ON MONDAY, 9 SEPTEMBER 2024 ("RIGHTS ISSUE") ("ADJUSTMENTS")
Pursuant to the Rights Issue:- (i) the existing number of 81,826,910 Warrants will be adjusted to 99,326,101 Warrants, whereby the additional 17,499,191 Warrants ("Additional Warrants") has been allotted and issued on 3 October 2024 to the entitled holders of Warrants whose names appear on the Record of Depositors of CWG at 5.00 p.m. on 9 September 2024. The Additional Warrants will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 8 October 2024 simultaneously with the Rights Shares; and (ii) the existing exercise price of the Warrants will be revised from RM0.36 per CWG Share to RM0.30 per CWG Share. The Additional Warrants were issued based on the entitlement ratio of 0.21387:1.00 (Additional Warrants: number of outstanding Warrants held as at the Entitlement Date) and after disregarding fractional entitlements.
