DELLOYD - NOTICE OF BOOK CLOSURE

LISTING'S CIRCULAR NO. L/Q : 72669 OF 2015

DELLOYD VENTURES BERHAD (“DELLOYD” OR THE “COMPANY”)

SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE UNDER SECTION 64 OF THE COMPANIES ACT, 1965 (“SCR”).

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex - Offer" ]
as from : [ 10 March 2015 ]

2) The last date of lodgement : [ 12 March 2015 ]

Remarks :- The SCR entails a selective capital reduction and repayment exercise under Section 64 of the Companies Act, 1965 involving the reduction of the enlarged issued and paid-up share capital of Delloyd to RM50.0 million comprising 50,000,000 ordinary shares of RM1.00 each in Delloyd ("Delloyd Shares") by way of cancellation of 181,154,675 Delloyd Shares.

Pursuant to the SCR, all the shareholders of Delloyd other than Chung & Tee Ventures Sdn. Bhd. (“CTVSB”) and its persons acting in concert in relation to the SCR (collectively referred to as the "Non-Entitled Shareholders"), whose names appear in the Record of Depositors of Delloyd as at 5.00 p.m. on 12 March 2015 (“Entitlement Date”) shall be entitled to receive a capital repayment of RM5.15 in cash for each Delloyd Share held. The Non-Entitled Shareholders will waive their entitlements to the repayment of capital pursuant to the SCR. The capital repayment is expected to be made within ten (10) days from the Entitlement Date.

The trading of Delloyd Shares on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9.00 a.m. on Friday, 6 March 2015, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day for trading of Delloyd Shares on the Main Market of Bursa Securities prior to the suspension shall be on Thursday, 5 March 2015. The trading of Delloyd Shares will continue to be suspended with effect from 9.00 a.m. on Friday, 6 March 2015 until the removal of Delloyd from the Official List of Bursa Securities.

The notice to shareholders in relation to the suspension of trading of Delloyd Shares and the Entitlement Date for the SCR will be despatched to the shareholders of Delloyd on 27 February 2015.
