On 12 November 2024, the Board of Directors of DSR Taiko (“Board”) had announced that the Company had received a letter from Ng Soh Kian and Dato’ Ng Lian Poh, being the major shareholders of DSR Taiko (“Proposers”), requesting the Board to consider undertaking the transfer of DSR Taiko’s listing status from the LEAP Market to the ACE Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Proposal Letter”).

On behalf of the Board, Affin Hwang Investment Bank Berhad wishes to announce that the Company has deliberated on the Proposal Letter and agreed to undertake the following:

1. proposed voluntary withdrawal of listing of DSR Taiko from the LEAP Market of Bursa Securities pursuant to Rules 8.05 and 8.06 of the LEAP Market Listing Requirements of Bursa Securities (“Proposed Withdrawal”); and
2. proposed listing of DSR Taiko on the ACE Market of Bursa Securities pursuant to Rules 3A.02(1) and 3A.02(2) of the ACE Market Listing Requirements of Bursa Securities (“Proposed Listing”).

(The Proposed Withdrawal and Proposed Listing are collectively referred to as the “Proposed Transfer”)

In addition to the above and to facilitate the implementation of the Proposed Transfer, the Company proposes to adopt a new Constitution ("Proposed Adoption").
