Reference is made to the announcements made on 13 September 2023, 24 November 2023, 28 February 2024, 27 May 2024 and 28 August 2024 in relation to the Memorandum of Understanding (“MOU”) between JHM Consolidation Berhad (“JHM” or “the Company”) and Jiangsu Dekai Auto Parts Co. Ltd. (“DEKAI”) (“Announcements”).

Unless otherwise stated, all definitions used throughout this announcement shall have the same meaning as defined in the earlier Announcements.

The Board of Directors of the Company wishes to announce that JHM and Jiangxi Dekai Auto Lighting Co., Ltd (a subsidiary of DEKAI) has subscribed the shares in JHM Dekai Auto Lighting Sdn. Bhd (“JV Vehicle”). Following the subscription, the shareholding structure of JV Vehicle is as follows:-

With the subscription of shares in JV Vehicle, the MOU is deemed to have fulfilled its purpose and henceforth expires.
