MAS - NOTICE OF BOOK CLOSURE

LISTING'S CIRCULAR NO. L/Q : 72114 OF 2014

Selective capital reduction and repayment exercise of Malaysian Airline System Berhad ("MAS" or "the Company") pursuant to Sections 60 and 64 of the Companies Act, 1965 ("Act")("SCR").

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex -Offer" ]
as from : [ 17 December 2014 ]

2) The last date of lodgement : [ 19 December 2014 ]

Remarks :- The SCR will enable all the Entitled Shareholders (as defined herein) to receive a total repayment amount of RM1,381,965,840 which represents a cash amount of RM0.27 for each ordinary shares of RM0.10 each in MAS ("MAS Share") held by the Entitled Shareholders.

The SCR will be effected via the following:

(i) the reduction of the issued and paid-up share capital of MAS from RM1,671,078,120 comprising 16,710,781,200 MAS Shares to RM1,159,238,920 comprising 11,592,389,200 MAS Shares by way of cancelling all MAS Shares held by the Entitled Shareholders; and

(ii) the reduction of the share premium account of MAS by RM870,126,640 from RM1,735,716,000 to RM865,589,360.

Under the SCR, the ordinary shareholders of MAS other than Khazanah Nasional Berhad whose names appear on the Company's Record of Depositors as at 5.00 p.m. on Friday, 19 December 2014 ("Entitlement Date")("Entitled Shareholders") shall be entitled to receive a cash amount of RM0.27 for each MAS Share held on the Entitlement Date. The capital repayment is expected to be made within ten (10) days from the Entitlement Date.

The trading of MAS Shares on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9.00 a.m. on Monday, 15 December 2014, being 3 clear market days before the Entitlement Date. Accordingly, the last day for trading of MAS Shares on the Main Market of Bursa Securities prior to the suspension shall be on Friday, 12 December 2014. The trading of MAS Shares will continue to be suspended until completion of the SCR and the subsequent delisting of MAS from the Official List of Bursa Securities.

The notice to shareholders in relation to the suspension of trading of MAS Shares and the Entitlement Date for the SCR will be despatched to MAS's shareholders on 5 December 2014.
