ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021/2026 ("WARRANTS C") IN HARVEST MIRACLE CAPITAL BERHAD ("COMPANY") AS CONSTITUTED BY THE DEED POLL DATED 16 MARCH 2021 ("DEED POLL C") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,356,351,633 NEW ORDINARY SHARES IN HARVEST MIRACLE CAPITAL BERHAD ("SHARES") ("RIGHTS SHARES") ON THE BASIS OF 3 RIGHTS SHARES FOR EVERY 1 SHARE HELD AS AT 5.00 P.M. ON 19 DECEMBER 2024 AT AN ISSUE PRICE OF RM0.08 PER RIGHTS SHARE, TOGETHER WITH UP TO 678,175,817 FREE DETACHABLE WARRANTS ("WARRANTS D") ON THE BASIS OF 1 WARRANT D FOR EVERY 2 RIGHTS SHARES SUBSCRIBED FOR ("RIGHTS ISSUE")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 18 Dec 2024
2) The last date of lodgment : 19 Dec 2024

Remarks :

The Notice of Book Closure in relation to the Rights Issue had been announced by the Company separately today.

Holders of Warrants C who wish to be entitled to the Rights Shares with Warrants D must exercise their Warrants C into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Symphony Corporate Services Sdn Bhd, on or before 5.00 p.m. on 6 December 2024. This is to enable the new Shares arising from such exercise to be alloted to the respective holders of Warrants C such that their name will appear on the Record of Depositors of HMCB by 5.00 p.m. on 19 December 2024. 

Holders of Warrants C who have not exercised their outstanding Warrants C and whose name appear in the Record of Depositors for the outstanding Warrants C as at 5.00 p.m. on 19 December 2024 would be entitled to the Adjustments.

The entitlement ratio indicated above is for illustration only based on the issued share capital of the Company as at 5.00 p.m. on 4 December 2024 (the market day preceding to this announcement) and assuming all entitled shareholders subscribe for their respective entitlements under the Rights Issue. The actual number of additional Warrants C to be issued and the adjusted exercise price of Warrants C pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the Rights Shares with Warrants D on the ACE Market of Bursa Malaysia Securities Berhad ("Bursa Securities").

The additional Warrants C will be listed and quoted simultaneously with the Rights Shares and Warrants D on the ACE Market of Bursa Securities. The notice setting out the details of the Adjustments will be issued and despatched to the entitled holders of Warrants C in due course.
