We refer to the announcements dated 13 September 2024, 7 October 2024, 8 October 2024 and 1 November 2024 in relation to the Proposed Capital Reduction (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, SCA wishes to announce that the Company had on 3 January 2025 received a notice dated 3 January 2025 issued by the Registrar of Companies confirming that on 24 December 2024, all requirements with respect to the Capital Reduction as stated in the special resolution dated 1 November 2024 have been complied with (“Notice”).
Pursuant to Section 119(4) of the Act, the Notice shall be conclusive evidence that all the requirements of the Act with respect to the Capital Reduction have been complied with. Accordingly, the Capital Reduction took effect on 3 January 2025.
Following the completion of the Capital Reduction, the issued share capital of the Company as at 3 January 2025 is RM39,386,011 comprising 926,719,091 Shares.
