Reference is made to the Company’s announcement dated 5 December 2024 in relation to the Memorandum of Understanding (“MOU”) entered into between Maxland Data Sdn Bhd and Global Data Centre Sdn Bhd for the collaboration in procuring, developing and undertaking any proposed projects, specifically in power industry including data centre, solar and power plant sectors in Malaysia.

The Board of Directors of Maxland (“Board”) wishes to announce that its wholly-owned subsidiaries, namely Maxland Energy Sdn Bhd (“MESB”) and Maxland Real Sdn Bhd (“MRSB”), had entered into a Joint Venture and Shareholders Agreement (collectively referred to as “the JVSA”) with GDC Data Sdn Bhd (“GDC”) to jointly provide collaboration and combine their skills, expertise, experience, and capabilities for the construction and development of data centres in Kulim and Sedenak (“Business”) via an incorporated joint venture company, Maxland Real Sdn Bhd (“JV Company or MRSB”), wherein MESB and GDC will hold 51% and 49% of ordinary shares in JV Company respectively.

(MESB, MRSB and GDC shall hereinafter be collectively referred to as “Party(ies)”).
