SUPERMX-C4M - Notice of Book Closure

ADJUSTMENT TO THE TERMS AND CONDITIONS OF THE EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS OVER ORDINARY SHARES OF SUPERMAX CORPORATION BERHAD ("SUPERMX") ("SUPERMX-C4M") IN RELATION TO THE BONUS ISSUE OF UP TO 163,237,171 FREE WARRANTS IN SUPERMX ("WARRANT(S)") ON THE BASIS OF 1 WARRANT FOR EVERY 20 EXISTING ORDINARY SHARES IN SUPERMX HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY ON 26 FEBRUARY 2025 ("WARRANTS ENTITLEMENT DATE") (“BONUS ISSUE OF WARRANTS”)

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 25 Feb 2025

2) The last date of lodgment : 26 Feb 2025

Remarks :

In accordance with Part 1 of the Deed Poll dated 3 October 2023, the Terms and Conditions of  SUPERMX-C4M will be adjusted in accordance with the following formula:

a. Adjusted Exercise Ratio = [(1 + (R/S) x M) / (1 + M)] x E

b. Adjusted Exercise Price = [(1 + (R/S) x M) / (1 + M)] x X

Whereby:

R: RM1.1500, being the exercise price per Warrants under the Bonus Issue of Warrants 

S: Closing price of SUPERMX shares on the last market day on which SUPERMX shares are traded on a cum-entitlement basis

M: 0.0500, being the number of Warrants (whether a whole or fraction) per existing SUPERMX shares held by the entitled shareholders on Warrants Entitlement Date.

X: RM0.7917, being the adjusted Exercise Price immediately pursuant to the Bonus Issue of Shares with an ex-date of 24 February 2025 

E: 1.6667, being the adjusted Exercise Ratio immediately pursuant to the Bonus Issue of Shares with an ex-date of 24 February 2025 

Please note the Exercise Price and Exercise Ratio shall only be adjusted if 

(i) the Warrants are theoretically in-the-money as of the last market day on which SUPERMX Shares are traded on a cum-entitlement basis (i.e. S is larger than R); and 

(ii) the adjustment would result in greater than or equal to two percent (2%) of the Exercise Price and Exercise Ratio being changed.

We shall make the announcement on the actual adjustments to SUPERMX-C4M on the Last Cum Date.
