On behalf of the Board of Directors of SJC, Inter-Pacific Securities Sdn Bhd wishes to announce that the Company had on 20 February 2025 entered into the following heads of agreements:-
(i) heads of agreement between SJC and Ong Kah Hoe as well as Ong Kah Wee (collectively, the “Unilink Vendors”) for the proposed acquisition by SJC of 100% equity interest in Unilink for a purchase consideration to be negotiated and agreed upon by SJC and the Unilink Vendors to be satisfied partly via cash and partly via the allotment and issuance of new ordinary shares in SJC (“SJC Shares” or “Shares”) (“Unilink HOA”); and
(ii) heads of agreement between SJC and Lawrence John Cannard as well as Chong Yan Moy (collectively, the “Vision Vendors”) for the proposed acquisition by SJC of 100% equity interest in Vision for a purchase consideration to be negotiated and agreed upon by SJC and the Vision Vendors to be satisfied wholly via the allotment and issuance of new SJC Shares (“Vision HOA”).
