The Board of Directors of Rohas wishes to announce that RBC Water Sdn Bhd (“RBC”), an indirect wholly-owned subsidiary of the Company, had on 14 March 2025 entered into a binding term sheet with Korea Water Resources Corporation (“K-Water” or “Purchaser”) (“Term Sheet”) which sets out the understanding of RBC and K-Water (collectively referred to as the “Parties”) for the disposal of RBC’s entire 30% equity interest in Phu My Vinh Construction and Investment Corporation for a cash consideration of VND500.82 billion (approximately RM87.14 million) (“Proposed Disposal”).

The provisions of the Term Sheet are intended to be used as basis for RBC and K-Water to enter into a definitive share sale agreement for the Proposed Disposal which shall be executed upon terms to be finalised by the Parties within the agreed timeline as stipulated in the Term Sheet (“SSA”).
