(Unless stated otherwise, abbreviations and definitions used throughout this announcement shall be the same as the announcement in relation to the Proposed Diversification dated 25 February 2025)

Reference is made to the announcement made by the Company on 25 February 2025 in relation to the Proposed Diversification.

The Board wishes to announce that, after having re-considered the additional capital and resources required for the Proposed Diversification and the intention of the Company to continue focus on the existing core operations of the Group for the time being, the Board has decided to abort the Proposed Diversification.

For avoidance of doubts, the Group will continue to undertake the moneylending and related business activities through FLCL, but does not anticipate the moneylending and related business activities to contribute more than 25.00% of the total net profits of the Group or cause a diversion of more than 25.00% of the total net assets of the Group at this juncture.

The Board will review the operational needs of the Group from time to time, and shall undertake the necessary where and when applicable.
