The Board of Directors of Cloudaron (“Board”) wishes to announce that Cloudaron Pte. Ltd. (Registration No. 201323372N) (“Vendor”), a wholly-owned subsidiary of Cloudaron had on 31 March 2025 entered into a Sale and Purchase Agreement (“SPA”) with an individual, Chen Huanhuan (“Purchaser”) for the proposed disposal of 1,296,381 ordinary shares of Clouddesk Technology Pte. Ltd. (Registration No. 201604855E) (“Clouddesk Technology”), representing 100% equity in Clouddesk Technology for a total disposal consideration of USD925,000.00 (equivalent to RM4,092,662.50) only (“Disposal Consideration”). The above transaction is referred to as the “Proposed Disposal”.
