- WINDING-UP PETITION SERVED ON BINA PURI SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY

The Board of Directors of BPHB wishes to announce that Bina Puri Sdn Bhd, a wholly-owned subsidiary of the Company, had on 8 May 2025, served with a Winding-Up Petition dated 5 May 2025 by Fujifilm Business Innovation Asia Pacific Pte. Ltd. (formerly known as Fuji Xerox Asia Pacific Pte. Ltd.) (“the Petitioner”) (“the Petition”) via its Advocates & Solicitors, Messrs. Skrine.

 

The Petitioner has initiated this Petition to wind up BPSB on an alleged sum owing by BPSB for the amount of RM309,129.77.

 

The Company wishes to highlight that the sum claimed by the Petitioner is already the subject of a Scheme of Arrangement sanctioned by the High Court of Malaya pursuant to an order dated 24 January 2024 under Shah Alam High Court with the suit number BA-24NCC-58-05/2023 (“Scheme of Arrangement”). The Scheme of Arrangement is binding on all scheme creditors, including the Petitioner, and governs the repayment of debts owed as of the scheme cut-off date.

 

Accordingly, the Company views the filing of the winding-up petition as inappropriate, irregular, and in breach of the Scheme, and has referred the matter to its solicitors for necessary legal action, including an application to strike out the petition and for relief arising from any contempt of court or reputational harm caused.


BPSB has issued a formal letter to the Petitioner’s solicitors demanding the immediate withdrawal of the petition and retraction of the notice published in the New Straits Times dated 20 May 2024.

BPSB is not a major subsidiary of the Company as defined under Chapter 1 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.


There will be no immediate financial and operational impact and no expected loss to the Group arising from the Petition.

The date of hearing for the Petition has been fixed on 6 August 2025.

 

Any material development in this matter will be announced in due course.

 

The Company has delayed in making the announcement on the Petition due to the following reasons:

 

  1. the Company was in the process of verifying the details and grounds of the Petition, including confirming whether the amount claimed falls within the scope of the Scheme of Arrangement sanctioned by the High Court of Malaya pursuant to an order dated 24 January 2024 under Shah Alam High Court with the suit number BA-24NCC-58-05/2023;
  2. ​the Company acted in good faith to avoid premature or inaccurate disclosure which may mislead the market, as the Company maintains that the Petition is irregular and legally unsustainable.
