We refer to the Company's announcements dated 9 October 2024, 20 November 2024, 28 November 2024, 27 February 2025 and 23 April 2025 in relation to the non-compliance with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of MMLR.

The Board of Directors of NPC wishes to announce that in conjunction with the release of the 1st quarter financial results for the period ended 31 March 2025 and pursuant to Paragraph 3.3 of Practice Note 19 of the MMLR, the Company currently does not comply with the public shareholding spread requirement.

As at the date of this announcement, the public shareholding spread of the Company is 11.66% based on its Record of Depositors dated 23 May 2025 and the Company was granted a further extension of time from 2 April 2025 to 30 September 2025 or until the Delisting of NPC from Official List, whichever is earlier, to comply with the public shareholding spread requirement by Bursa Securities vide its letter dated 23 April 2025.

On 3 April 2025, the Company announced and issued a Circular to Shareholders in relation to the Proposed Selective Capital Reduction and Repayment Exercise of the Company Pursuant to Section 116 of the Companies Act 2016 ("Proposed SCR"). The Proposed SCR was tabled at the Extraordinary General Meeting held on 25 April 2025, where it was unanimously approved by the Non-Interested Shareholders.

Barring any unforeseen circumstances and subject to the fulfilment of the conditions of the Proposed SCR, the Proposed SCR is expected to be completed in the second quarter of calendar year 2025.

Upon completion of the Proposed SCR, the Company will make an application to Bursa Securities pursuant to Paragraph 16.08 of the MMLR to delist the Company and withdraw listing status from the Official List of Bursa Securities. Accordingly, the Company will be deemed not subject to MMLR.
