ANNOUNCEMENT ON EXPIRY OF THE FIRST COLLABORATION AGREEMENT BETWEEN SOUTHVILLE CITY SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF MAH SING, AND BRIDGE DATA CENTRES MALAYSIA V SDN BHD FOR THE LAND MEASURING APPROXIMATELY 17.55 ACRES |

The Board of Directors of Mah Sing (“Board”) wishes to announce that further to the announcement made on 30 May 2024 with respect to the first collaboration agreement dated 30 May 2024 (“CA1”) for development of data centre facilities and infrastructure (“DC”) on a freehold land held under Geran 335877, Lot 123155 Mukim Dengkil, Daerah Sepang, Negeri Selangor, measuring approximately 7.101 hectares (17.55 acres) within the Southville City township in Bangi, Selangor (“Site”), both Southville City Sdn Bhd (a wholly-owned subsidiary of Mah Sing) and Bridge Data Centres Malaysia V Sdn Bhd (“BDC”) have progressed their collaboration from a joint venture development to a build-and-lease agreement for the completed DC to be leased to BDC (“BTL Agreement”).
For clarity, CA1 relates specifically to a 17.55-acre site designated for the development of up to 100MW power capacity data centre. This is distinct from a second collaboration agreement (“CA2”) concerning a separate 35.68-acre site intended for a 200MW power capacity data centre, which remains ongoing and is set to expire on 28 October 2025.
Despite the parties having achieved landing on key commercial terms with respect to the BTL Agreement over the past 12 months and Mah Sing’s readiness to proceed; after having taking steps to secure confirmation from the authority or utility providers on the availability of certain critical infrastructure such as electricity, water supply and dark fibre to the Site and preparation of electricity supply agreement for execution, the definitive agreement had not been signed within the exclusivity period envisaged under the CA1 which lapses on 30 May 2025.
Whilst BDC had requested an extension, Mah Sing has responded that it is unable to agree to the extension at this stage, given the absence of a clear commitment from BDC to proceed with the execution of the definitive agreement.
Mah Sing remains committed to supporting Malaysia’s position as a regional digital infrastructure hub. The site is now fully primed for data centre development, with critical infrastructure readiness already established. This positions the land as an attractive and strategic opportunity for data centre offtakers or operators seeking to commence operations swiftly. We welcome engagement with other parties who are ready to proceed within a defined timeline.
This announcement is dated 30 May 2025.
