| The SCR entails a selective share capital reduction and repayment under Section 64 of the Act which will result in the reduction of the issued and paid-up share capital of TAS from RM87,170,928 comprising 87,170,928 ordinary shares in TAS ("TAS Shares") to RM60,489,548 comprising 60,489,548 TAS Shares by way of cancelling a total of 26,681,380 TAS Shares, being all the outstanding TAS Shares held by the shareholders of TAS other than Golden Power Holdings Sdn Bhd, Toh Thim Leong, Hong Kerk Ai, Toh Chee Yeong, Toh Chee Lit and Triumphal Resources Sdn Bhd. Pursuant to the SCR, all the entitled shareholders, whose names appear in the Record of Depositors of TAS as at 5:00 p.m. on Thursday, 10 April 2014 ("Entitlement Date") ("Entitled Shareholders") shall be entitled to receive a cash repayment of RM1.00 for each existing TAS Share held. The capital repayment of RM1.00 per TAS Share is expected to be made within 10 days from the Entitlement Date. The trading of TAS Shares on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9:00 a.m. on Friday, 4 April 2014, being 3 clear market days prior to the Entitlement Date. Accordingly, the last day of trading of TAS Shares on the Main Market of Bursa Securities prior to the suspension shall be 5:00 p.m. on Thursday, 3 April 2014. The TAS Shares will no longer be traded on the Official List of Bursa Securities after the trading is suspended from 9:00 a.m. on Friday, 4 April 2014. The trading of TAS Shares will continue to be suspended with effect from 9:00 a.m. on Friday, 4 April 2014 until the removal of TAS from the Official List of Bursa Securities. An application to Bursa Securities pursuant to Paragraph 16.08 of the Main Market Listing Requirements of Bursa Securities to withdraw TAS from the Official List will be made within 1 month from the day the capital repayment of RM1.00 per TAS Share is paid to the Entitled Shareholders. The notice to shareholders in relation to the suspension of trading of TAS Shares and the Entitlement Date for the SCR will be despatched to the shareholders of TAS on 26 March 2014.
