TO THE FOLLOWING DEFENDANTS:-
(1) TAN YUH PEI (NRIC NO.: 761221-10-5209) ("First Defendant")
(2) KOH KEAN MUM (NRIC NO.: 700924-10-5345) ("Second Defendant")
(3) ONETECH SOLUTIONS HOLDINGS BERHAD [Registration No.: 201901002105 (1311431-K)] ("Third Defendant")(Collectively referred as "the Defendants")

The Board of Directors (“Board”) of the Company wishes to announce that the Company had on 9 June 2025 received the Originating Summons No.: WA-24NCC-289-05/2025 of the High Court of Malaya at Kuala Lumpur (“Summons’’) served against the Defendants by the Plaintiff via his Solicitors, Messrs Sherlene Lai & Co.

 

The Plaintiff is seeking and claiming against the Defendants for the following:-

 

  1. Declaration that the First Defendant and the Second Defendant have managed the Third Defendant and used their power in an oppressive and/or neglectful manner and/or acted in an unfair manner which has been detrimental to the interests of the Plaintiff as a member of the Company;
     
  2. That the First and Second Defendants jointly and severally purchased all 34,627,500 shares held by the Plaintiff in the Company at a price of RM0.20, which is the open market price on Bursa Malaysia at the time of the filing of this Summons for the amount of RM6,925,500;
     
  3. In the alternative to paragraph 2 above, that the Company be ordered to be wound up by the Honorable Court;
     
  4. That the Defendants are jointly and severally liable to bear the costs of this Summons and to be paid to the Plaintiff on a compensatory basis or on any basis deemed fit and proper by the Honorable Court;
     
  5. That the Defendants are jointly and severally liable to pay to the Plaintiff general damages, exemplary damages and/or compensatory damages to be assessed by this Honorable Court;
     
  6. Any further orders and/or other relief as the Honorable Court may deem fit and just.

 

The Court has fixed the matter for case management on 11 June 2025, Wednesday at 9.00 a.m. via e-review before Puan Nur Azalea Hasya binti Hasrijam.

 

The Company is not expected to have any loss arising from the litigation at this juncture save for the legal cost and expenses connected to this matter. The Board is in the process of seeking legal advice and remains confident in its legal position and will continue to challenge the petitioner’s claims, which it believes has no merit.

 

Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course.
