The Board of Directors of Pantech Global is proposing to undertake the following proposals:-

(a)   Proposed Shareholders' Ratification for Recurrent Related Party Transactions of a revenue or trading nature (“RRPT Mandate”)

The proposed shareholders' ratification for RRPT Mandate will be tabled for the shareholders’ consideration at the forthcoming Annual General Meeting. A circular to shareholders in connection thereto will be issued in due course.

(b) Proposed New Shareholders' Mandate for Recurrent Related Party Transactions of a revenue or trading nature ("New Shareholders' Mandate")

The proposed new shareholders' mandate will be tabled for the shareholders’ consideration at the forthcoming Annual General Meeting. A circular to shareholders in connection thereto will be issued in due course.

(c)   Proposed Share Buy-Back authority of up to 10% of the total number of issued shares (“Share Buy-Back Mandate”)

The Company intends to propose the Share Buy-Back Mandate and will table this proposal for the shareholders’ consideration at the forthcoming Annual General Meeting. A statement in connection thereto will be issued in due course.
