1.    INTRODUCTION

The Board of Directors of Kenanga Investment Bank Berhad (“Kenanga” or “the Company”) is pleased to announce that on 11 June 2025, the Company has established the AT1CS Programme, following the execution of all relevant transaction documents and receipt of the necessary regulatory approvals.

Kenanga is the Principal Adviser and Lead Arranger for the AT1CS Programme.

2.    DETAILS OF THE AT1CS PROGRAMME

The AT1CS Programme provides the Company with the flexibility to issue AT1CS from time to time. Each issuance under the Programme shall have a perpetual tenure and may be subject to the Company call option, exercisable (in whole or in part) on the relevant call date. Any such exercise of the call option shall be subject to the prior written approval of Bank Negara Malaysia and the satisfaction of all applicable conditions set out in the terms and conditions of the AT1CS.

AT1CS issued pursuant to the Programme shall qualify as Additional Tier 1 Capital of the Company, in accordance with the Capital Adequacy Framework issued by Bank Negara Malaysia. Such securities may be rated or unrated, or comprise a combination thereof, and shall be transferable and tradable following issuance.

3.   UTILISATION OF THE PROCEEDS

The proceeds raised from the issuance of AT1CS under the Programme shall be utilised by the Company for capital expenditure, working capital requirements, the refinancing and/or settlement of existing financing or indebtedness, and/or for other general corporate purposes of the Company.
