The Board of Directors of ENRA wishes to announce that Hexagon Energy Logistics Sdn Bhd (“HELSB”), a wholly-owned subsidiary of ENRA, had on 20 June 2025, entered into a binding Heads of Agreement (“HOA”) with SIP JDA Sdn Bhd (“SIP”) for the purpose of outlining the principal terms in relation to the provision of a storage tanker solution to SIP in support of CARIGALI-PTTEPI operations at the Malaysia-Thailand Joint Development Area, for a duration of twelve (12) months commencing from 1 October 2025 to 30 September 2026 for a contract value of USD32.09 million (equivalent to approximately RM136.56 million).

The HOA will not have any effect on the share capital and substantial shareholders’ shareholding of ENRA as it does not involve any allotment or issuance of new shares by ENRA.

Save for the normal operational risks, the Board of Directors of ENRA is not aware of any other risk factors which may arise from the HOA.

The HOA is expected to contribute positively to the earnings per share, net assets per share and gearing of ENRA Group for the financial year ending 31 March 2026.

None of the Directors and/or major shareholders of the Company and/or persons connected to them have any interest, direct or indirect, in the HOA.

Any key development in relation to the HOA will be announced as required.
