Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s announcement dated 24 June 2025 (Reference Number: GA1-20062025-00059) in relation to the WS-MBB.

Further to the Company’s announcement dated 24 June 2025 in relation to the WS-MBB, the Board wishes to inform that –

(i) CFSB is a wholly-owned subsidiary of the Company incorporated in Malaysia, principally involved in -

a. distributing, wholesale and trading in all types of fruits, vegetables and related products; and

b. manufacturing and processing all types of fruits, vegetables, nuts and food products.

However, CFSB had ceased its core business since November 2024 and no revenue generated therefrom.

(ii) the following are the estimated potential liabilities to Carzo group arising from the WS-MBB:

(a) the outstanding debt under TL1 of RM164,349.08 together with:

• interest at 6.00% per annum in addition to Base Lending Rate, and
• additional interest of 1.00% thereon, calculated at daily basis from 01 February 2025 until full settlement of the outstanding debt

(b) the outstanding debt under TL2 of RM278,753.15 together with:

• interest at 5.00% per annum in addition to Base Lending Rate, and
• additional interest of 1.00% thereon, calculated at daily basis from 01 February 2025 until full settlement of the outstanding debt;

(c) costs; and

(d) any other reliefs that the Honourable Court deems fair and appropriate.

(iii)       the Board is of the view that the financial impact resulting from the WS-MBB will be the expected losses arising from the litigation as mentioned above. The Board also wishes to inform that there will be no operational impact arising from the WS-MBB as the Carzo group had ceased its core business for the distribution of fresh fruits and fruits products for the time being since November 2024.

Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course.
