OFFER DOCUMENT IN RELATION TO THE CONDITIONAL MANDATORY TAKE-OVER OFFER BY ETA INDUSTRIES SDN BHD ("OFFEROR") TO ACQUIRE:-
(I) ALL THE REMAINING ORDINARY SHARES IN REX INDUSTRY BERHAD ("REX") ("REX SHARE(S)" OR "SHARE(S)") NOT ALREADY HELD BY THE OFFEROR, LIM CHIN HUI ("ULTIMATE OFFEROR") AND PERSONS ACTING IN CONCERT WITH THEM ("PACS"), AS WELL AS SUCH NUMBER OF NEW REX SHARES THAT MAY BE ISSUED AND ALLOTTED PRIOR TO THE CLOSING DATE ARISING FROM THE EXERCISE OF THE OUTSTANDING WARRANTS 2022/2027 ("REX WARRANT(S)" OR "WARRANT(S)") ("OFFER SHARE(S)") FOR A CASH CONSIDERATION OF RM0.10 PER OFFER SHARE; AND

The Offer entails a conditional mandatory take-over offer by the Offeror, through UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) to acquire:- (i) all the remaining Rex Shares not already held by the Offeror, Ultimate Offeror and PACs, as well as such number of new Rex Shares that may be issued and allotted prior to the closing date arising from the exercise of the outstanding Rex Warrants for a cash consideration of RM0.10 per Offer Share; and (ii) all the remaining Rex Warrants which are not already owned by the Offeror, Ultimate Offeror and PACs for a cash consideration of RM0.005 per Offer Warrant.
