On behalf of the Board of Directors of SkyGate, UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) wishes to announce that the Company proposes to undertake the following:-

1. terminate the existing executives’ share option scheme (“ESOS”) of up to 10% of the total number of issued shares of SkyGate (excluding treasury shares, if any) (“SkyGate Shares” or “Shares”) at any point of time during the duration of the scheme for eligible executive directors and senior management of SkyGate and its subsidiaries (excluding subsidiaries which are dormant, if any) (collectively referred to as “SkyGate Group”), which was established on 11 July 2019 and will expire on 11 July 2029 (“ESOS 2019”). (“Proposed ESOS Termination”); and
2. establishment of an employee share grant plan (“ESGP”) of up to 15% of the total number of issued SkyGate Shares (excluding treasury shares, if any) at any point in time during the duration of the ESGP for the eligible key senior management and employees of SkyGate Group (“Eligible Employee(s)”) (“Proposed ESGP”).

The Proposed ESGP does not involve the issuance of new SkyGate Shares to the Eligible Employee(s) and will instead be implemented through the Company’s existing share buy-back mandate and administered by a trustee to be appointed by the SkyGate Group under a trust to be established for the purposes of the Proposed ESGP.
