| We refer to the announcements dated 21 June 2013, 1 July 2013, 30 July 2013, 6 September 2013, 18 September 2013, 28 October 2013 and 16 January 2014 in relation to the Proposed SCR. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements in relation to the Proposed SCR. The SCR entails a selective capital reduction and repayment exercise pursuant to Section 64 of the Companies Act, 1965 involving the reduction of the issued and paid-up share capital of Nadayu Properties Berhad ("Nadayu") to RM135,047,596 comprising 135,047,596 ordinary shares of RM1.00 each in Nadayu ("Nadayu Share(s)") by way of cancellation of 92,454,204 Nadayu Shares, in which all the outstanding 66,995,800 Nadayu Shares held by the shareholders of Nadayu other than ATIS IDR Ventures Sdn Bhd, Zhuojian Associates Sdn Bhd (collectively referred to as "Major Shareholders") and the person acting in concert with the Major Shareholders, namely KVC Corporation Sdn Bhd, Chen Khai Voon, Ideal Region Sdn Bhd, Hamidon Bin Abdullah, Lim Beng Guan and Choong Khoong Liang (collectively referred to as the "Non-Entitled Shareholders") and the balance of 25,458,404 Nadayu Shares held by the Non-Entitled Shareholders will be cancelled. Under the SCR, all the shareholders of Nadayu other than the Non-Entitled Shareholders, whose names appear in the Record of Depositors of Nadayu as at the close of business day on 6 February 2014 ("Entitlement Date") shall be entitled to receive a capital repayment of RM1.38 in cash for each existing Nadayu Share held. The Non-Entitled Shareholders will waive their entitlements to the repayment of capital pursuant to the SCR. The settlement of the Adjusted SCR Consideration Price will be effected by directly crediting the bank accounts of the Entitled Shareholders as provided to Bursa Depository. However, for Entitled Shareholders who have not provided bank account details to Bursa Depository, the settlement will be effected via remittance in the form of cheques, banker's drafts and/or cashier's orders which will be despatched by ordinary mail to the Entitled Shareholders (or their designated agents, as they may direct) at the Entitled Shareholders' registered address last maintained with Bursa Depository at their own risk. The settlement of the Adjusted SCR Consideration Price will be paid within 10 days from the Entitlement Date, i.e. by 16 February 2014. Nadayu will be delisted and withdrawn from the Official List of Bursa Securities ("Official List") upon successful completion of the SCR. The trading of Nadayu Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Wednesday, 29 January 2014, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day for trading of Nadayu Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Tuesday, 28 January 2014. The Nadayu Shares will no longer be traded on the Official List after the trading of Nadayu Shares is suspended on Wednesday, 29 January 2014. For the avoidance of doubt, the trading of Nadayu Shares will continue to be suspended with effect from 9.00 a.m. on Wednesday, 29 January 2014 until the removal of Nadayu from the Official List. The notice to shareholders in relation to the suspension of trading of Nadayu Shares and the Entitlement Date will be despatched to the shareholders of Nadayu on 22 January 2014.
