EA Holdings: EGM on Aug 22 "defective and void"

KUALA LUMPUR: EA Holdings Bhd has called an extarrodinary general meeting (EGM) requested by a Ng Cheng Sin for August 22, 2023 as defective and void, and advised shareholders not to attend and vote at the scheduled EGM.

In a filing with Bursa Securities EA Holdings said the EGM is independent of the company and against the terms of Ad Interim Injunction granted by the High Court in favour of Vinvest Capital Holdings Bhd and Mohammad Sobri Saad, which among others, prohibits the company from holding an EGM while the injunction is in force.

"The Notice issued, calling for an EGM to be held on 22 August 2023 is restrained under the terms of the Ad Interim Injunction orders, and accordingly is treated by the company as defective and void. Any intended or purported attempt to hold any EGMs in the name of the Company is in breach of the said Ad Interim Injunction Orders and any individual attempting such a step may be subject to contempt proceedings," the company said in the fiing.

EA Holdings said any and all resolutions approved at the said EGM will be treated by the company as invalid and void in light of the Ad Interim Injunction Orders served on the company.

"The company will not hesitate to take legal action against any individual(s) who continues to create unnecessary confusion to the members of the Company and the general public," EA Holding said in the filing.

EA Holdings' share price closed at half a sen yesterday.
