The Board of Directors of the Company ("Board") wishes to announce that SDS Top Baker Sdn Bhd ("SDS Top Baker" or "the Purchaser"), a wholly-subsidiary of SDS Food Manufacturing Sdn Bhd (which in turn is a wholly-owned subsidiary of the Company), had entered into the following agreements (collectively defined as "Definitive Agreements") in relation to the Proposed Acquisitions for a total purchase consideration of RM28.0 million ("Total Purchase Consideration"):-

(i) sale and purchase agreement dated 15 August 2025 ("SPA for Factories") with Mamee Bakery Sdn Bhd ("Mamee") for the purchase of 7 Lands with factories erected thereon ("Factories") held under Geran 136983 to 136989 (Lot 111737 to 111743) in Mukim Plentong, Daerah Johor Bahru, Negeri Johor for a total purchase consideration of RM26.0 million ("Purchase Consideration 1"); and

(ii) asset sale and purchase agreement dated 15 August 2025 ("SPA for Assets") with Mamee for the purchase of entire production lines of machinery, equipment and tools associated with the Factories, registered trademarks and production know-how (collectively referred to as "Assets") for a total purchase consideration of RM2.0 million ("Purchase Consideration 2").
