The Board of Directors of Divfex Berhad (“DFX” or “the Company”) wishes to announce that Diversified Gateway Berhad (“DGB”), a wholly-owned subsidiary of DFX, has received and accepted a Letter of Award ("LOA") from Fiberail Sdn Bhd ("Fiberail") dated 7 November 2025 for the “Agreement for supply, delivery, install, testing and commissioning of customer network equipment and its management system  for Fiberail Sdn Bhd” for a period of fourteen (14) years commencing from 2025 until 2040 (maintenance and support to commence after the expiry of the one (1) year warranty period) for the total contract value of RM 18,742,297.24  (inclusive of Sales and Service Tax (SST) of 8%).

Fiberail is company incorporated in 1989, and is licensed under the Communications and Multimedia Act 1998 as a Network Service Provider (NSP), Network Facilities Provider (NFP) and Application Service Provider (ASP) for telecommunications industry.

The LOA will have no effect on the issued share capital and substantial shareholders’ shareholdings in the Company.

The LOA is expected to contribute positively to the revenue, earnings per share and net assets per share of DFX Group for the financial year ending 30 June 2026.

The LOA is part of DGB’s ordinary course of business and its managed network business offerings. DFX does not anticipate any exceptional risks arising from this engagement, aside from the typical operational and financial risks that are associated during the installation, commissioning and user acceptance phases. These risks have been evaluated, deemed manageable, and mitigated in accordance with established protocols and industry best practices.

None of the Directors and/or the substantial shareholders of the Company and/or persons connected with the Directors and/or substantial shareholders of the Company have any interest, direct or indirect in the LOA.

The Board of Directors of the Company is of the opinion that it is in the best interest of DFX Group.
