The Board of Directors of AuMAS Resources Berhad (“AuMAS” or “the Company”) wishes to announce that the Company and its wholly-owned subsidiary, Wullersdorf Resources Sdn. Bhd. (“WRSB”) had been on 18 December 2025 served with a Writ of Summon and Statement of Claim both dated 10 October 2025 respectively from Southsea Gold Sdn. Bhd. (“SGSB” or “the Plaintiff”), details of which are as follows:

1. Details of the default or circumstances leading to the filing of the Writ of Summon and the particulars of the claim under the Writ of Summon

The circumstances leading to the filing of Writ of Summon and Statement of Claim against the Company and WRSB was due to the disputes arising from contractual and operational arrangements concerning mining activities at Bukit Mantri, Sabah, which are substantially related to matters already pending before the High Court and which have been consolidated under Suit Nos. TWU-22NCvC-5-2/2024 and TWU-22NCvC-12- 7/2023.

The reliefs sought by SGSB, as pleaded, include various declaratory, injunctive and ancillary reliefs in connection with the interpretation and enforcement of contractual arrangements, land use and regulatory approvals, as well as claims for damages and related relief against certain defendants. The Directors of the Environmental Protection Department of Sabah, Lands and Surveys Department of Sabah, Department of Mineral and Geoscience of Sabah and the Sabah State Government have also been named as Nominal Defendants.

2. Confirmation as whether WRSB is a major subsidiary

WRSB is a major subsidiary of the Company.

3. Cost of Investment in WRSB

The total cost of investment in WRSB by the Company is RM9,000,000.00.

4. The financial and operational impact of the Writ of Summon and Statement of Claim on the Group

At this juncture, based on information presently available, the said Writ of Summon and Statement of Claim is not expected to have a material adverse financial or operational impact on the Group.

5. Steps taken in respect of the Writ of Summon and Statement of Claim

The commencement of the said action raises issues relating to duplicative proceedings. The Company will therefore take all necessary steps to defend and oppose the claims and has sought and continues to seek legal advice in connection with this matter.

6. Additional Information

Further to the above, WRSB has also been served with a Notice of Application for an injunction filed by SGSB in relation to the same subject matter. The application has been fixed for hearing before the High Court of Sabah and Sarawak at Tawau in January 2026. No interim or injunctive order has been granted as at the date of this announcement.

The Company will make further announcements in accordance with requirements of Bursa Malaysia Securities Berhad should there be any material developments in relation to the above matter.
