Reference is made to the Company’s announcements made on 19 December 2025 and 23 December 2025 in relation to the Writ of Summon and Statement of Claim received by the Company and its wholly-owned subsidiary, Wullersdorf Resources Sdn. Bhd. ("Defendants") from Southsea Gold Sdn. Bhd. ("Plaintiff" or “SGSB”), High Court of Sabah and Sarawak at Tawau Civil Suit No. TWU-22NCVC-30-10/2025 (HC)(“Announcements”). Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the Announcements.

 

The Board of Directors of AuMAS wishes to announce the following additional information:

 

1. Clarification on sub-lease and related agreements

 

The sub-lease and related agreements in the Company’s disclosure relate to contractual arrangements entered into between Southsea Gold Sdn Bhd (the “Plaintiff”) and the Company’s wholly owned subsidiary, Wullersdorf Resources Sdn Bhd (“WRSB”), in connection with mining activities at Bukit Mantri, Tawau, Sabah.

Specifically:

  • Under the sub-lease agreement, a defined area of the Plaintiff’s mining lease area was sub-leased to WRSB until 2048, prior to its acquisition by the Company. This sub-lease agreement formed a material part of the commercial basis on which the Company subsequently acquired WRSB for a total payment consideration of RM96 million made to the Plaintiff; and

 

  • The related agreements refer to other agreements which further regulate certain operational matters between the Plaintiff and WRSB, including the Plaintiff’s contractual obligations and WRSB’s contractual rights, including but not limited to the extension and enjoyment of benefits of the Environmental Impact Assessment (“EIA”) report and its approval.

The Plaintiff is seeking a declaration that these contractual agreements are to be terminated.

 

2. Clarification on reference to the use of the Plaintiff’s Environmental Impact Assessment (“EIA”) approval

 

The reference to the use of the Plaintiff’s EIA approval relates to arrangements provided for under the related agreements described above.

 

The Company and WRSB have obtained the relevant approvals from the applicable regulatory authorities in connection with their mining operations.

 

The Plaintiff is seeking a declaration that the EIA approval is exclusive to the Plaintiff and to restrain WRSB from using or relying on the said EIA approval.

 

All the matters above are the subject of ongoing court proceedings under consolidated Suit Nos. TWU-22NCvC-5-2/2024 and TWU-22NCvC-12-7/2023 and remain subject to determination by the Court. The Company and WRSB dispute the above unilateral declarations sought and will vigorously defend its position.
